USER AGREEMENT AND CERTIFICATION TERMS

This User Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and Certified Human Intelligence, Inc. ("CHI," "Company," "we," "us," or "our"). By creating an account, accessing our platform, or submitting content for certification, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Agreement.
"Artificial Intelligence" or "AI" means any software, algorithm, machine learning model, large language model, generative AI system, neural network, or automated system capable of generating, creating, modifying, or contributing to content without direct human creative input, or capable of operating accounts, making representations, or conducting transactions without direct human control.
"Certification" means the process by which CHI verifies, watermarks, and cryptographically signs content submitted by Users as human-created.
"Certified Content" means any content that has been processed through CHI's certification system and bears our cryptographic signature, watermark, or certificate.
"Featured Creator" means a User whose profile and/or Certified Content has been selected by CHI for public display, promotion, or highlighting on the Platform or in CHI marketing materials.
"Human-Created Content" means original works created entirely through human intellectual effort, creativity, and labor, without substantive assistance, generation, or contribution from any AI system.
"Organization Account" means an account established by a business, company, agency, or other legal entity, under which individual Authorized Users may operate subject to additional terms.
"Platform" means the CHI website, applications, APIs, and all related services provided by the Company.
"User Account" means the account created by a User to access the Platform, including all associated profile information, credentials, activity history, and representations made through or in connection with that account.
"User Identity" means all information, representations, and assertions a User makes regarding their identity, including but not limited to their name, likeness, biographical information, professional credentials, contact information, and any claims about their status as a natural human person.
To use the Platform, you must:
The Platform is available to users worldwide, subject to applicable export controls and sanctions. Users are responsible for compliance with local laws. If you access the Platform from the European Economic Area, United Kingdom, or other jurisdictions with specific data protection requirements, additional terms in Section 15 (International Users) apply to you.
By submitting any content to CHI for certification, you solemnly affirm, represent, and warrant that:
Using AI for brainstorming, ideation, topic research, or content planning is permitted, provided the final submitted content is entirely human-created. The following uses of technology do not disqualify content from human-created status:
However: Any AI-powered features within those tools (including but not limited to generative fill, AI image generation, AI background removal, AI content-aware scaling, AI voice synthesis, AI music generation, or similar AI-assisted features) render the content ineligible for CHI certification.
By creating a User Account, you affirm, represent, and warrant that:
The representations and warranties in Sections 3.1 and 3.3 are ongoing and continuous. Each time you access the Platform, submit content for certification, or take any action through your User Account, you reaffirm these representations and warranties.
You agree to cooperate fully with any verification requests from CHI. Upon request, you agree to:
Failure to cooperate with verification requests within fourteen (14) days may result in suspension of your account and revocation of certificates pending verification.
CHI is a certification and authentication service, not a content moderation or censorship platform. CHI certifies that content is human-created and authenticates the identity of creators. CHI does not evaluate, endorse, or take any position on the subject matter, viewpoint, artistic merit, or message of content submitted for certification.
You are solely and fully responsible for all content you certify. By certifying content, you acknowledge that:
While CHI does not censor content based on viewpoint, CHI reserves absolute and sole discretion to determine what content and which creators to publicly display, promote, feature, or highlight. CHI may decline to promote any content that does not align with CHI's values, brand standards, or ethical guidelines.
CHI may refuse to certify, may revoke certification of, and will report to appropriate authorities any content that CHI reasonably believes constitutes: child sexual abuse material; credible threats of violence; content that facilitates human trafficking; content that violates applicable law; or other content where certification would facilitate serious harm.
CHI may, in its sole discretion, select certain Users to participate in the Featured Creator program. Selection is not guaranteed and may be revoked at any time.
If you are selected as a Featured Creator or opt into a public profile, you consent to public display of your name, profile information, Certified Content, and use in CHI marketing materials.
CHI may remove any User from Featured Creator status at any time, for any reason. Removal does not affect the underlying certification or permanent record of authorship.
You acknowledge that false certification or identity misrepresentation may cause substantial harm to CHI, including reputational damage, economic losses, third-party claims, remediation costs, and legal expenses.
You agree that actual damages from false certification would be difficult to calculate. Therefore, in addition to actual damages, you agree to pay liquidated damages of Fifteen Thousand Dollars ($15,000.00) per instance of: (a) false content certification; (b) fraudulent User Account creation or operation; (c) identity misrepresentation; or (d) allowing AI or automated systems to operate your User Account.
CHI reserves the right to audit any certification at any time. Upon request, you must provide within fourteen (14) days: original source files, draft versions, creation timestamps, documentation of your creative process, and any other evidence reasonably requested. Failure to comply creates a rebuttable presumption that the content was not human-created.
CHI reserves the right to investigate any submitted content or User Account using available technological means, including AI detection tools, metadata analysis, forensic examination, and third-party verification services.
Upon discovery or reasonable suspicion of a violation, CHI may:
Upon revocation, CHI will update its verification systems to reflect the revocation. Third parties querying the certificate will be informed that it has been revoked. Revocation is permanent.
CHI may charge fees for certification services and premium features. Current pricing is available on the Platform. CHI reserves the right to modify pricing at any time with thirty (30) days notice.
If your account is terminated or certificates are revoked due to violation of this Agreement, you are not entitled to any refund of fees paid. All fees paid for fraudulently obtained certifications are forfeited.
For accounts in good standing, unused certification credits may be refunded within thirty (30) days of purchase. Subscription fees are non-refundable but you may cancel future renewals at any time.
You retain all ownership rights in content you submit. By submitting content for certification, you grant CHI a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to:
All CHI trademarks, logos, watermarks, certificates, and certification marks are the exclusive property of CHI. You may display CHI certification marks only on content that has been validly certified and remains in good standing.
If you access the Platform through an API, you agree to comply with all API documentation, rate limits, and usage guidelines. API access may be subject to additional terms and fees.
You may not: exceed published rate limits; use the API to build a competing service; reverse engineer the API; share API credentials; or use the API to submit content without human review and attestation.
CHI provides certification services as a verification tool based on available technology and information. While CHI employs rigorous verification methods, no verification system is infallible. Third parties who rely on CHI certifications do so with the understanding that CHI certifies based on User representations and available detection technology.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. CHI'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).
CHI may offer Organization Accounts in the future that allow businesses and entities to manage multiple Authorized Users. Organization Accounts will be subject to additional terms. Individual human Users who certify content remain personally responsible for their representations regardless of Organization Account structure.
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
Any dispute arising from this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.
CHI may seek injunctive relief in any court of competent jurisdiction to prevent unauthorized use of CHI intellectual property, enforce confidentiality obligations, or address ongoing violations.
If you are located in the European Economic Area, United Kingdom, or Switzerland: CHI processes personal data as necessary to perform this Agreement and provide certification services. You have rights under applicable data protection law to access, correct, delete, restrict processing of, and port your personal data.
Your data may be transferred to and processed in the United States. By using the Platform, you consent to such transfer.
You are responsible for compliance with applicable local laws.
This Agreement remains in effect until terminated.
You may terminate by closing your account through the Platform settings. Account closure does not affect the permanent record of certifications or CHI's data retention rights.
CHI may terminate or suspend your access at any time for any reason, with or without notice.
Upon termination, CHI shall retain in perpetuity: all content you submitted for certification; all certificates issued; all records of certification transactions and account activity; all User Account information; and any information necessary to verify previously issued certificates or investigate potential violations.
The following sections survive termination: Definitions, Content Standards and Accountability, Liability for False Certification, Intellectual Property, Limitation of Liability, Dispute Resolution, Data Retention, and any other provisions that by their nature should survive.
CHI reserves the right to modify this Agreement at any time. Material changes will be communicated via email or platform notification at least thirty (30) days before taking effect. Continued use of the Platform after modifications constitutes acceptance of the revised terms.
